Job Description

Job Title:Legal Counsel 法务顾问  Temporary(6-8个月)

Job Responsibility:

1)Develop a good working relationship with the business units and administration and  provide general legal support for development of company’s business in Greater China, including contract review and drafting, participating in negotiations, interpreting existing contracts and relevant PRC legislations;
•Draft, review and translate all kinds of contracts relating to the operation of the company in both Chinese and English languages.
•Categories of Contracts include Global Framework Agreement for international sales/distribution, dealer contracts, sales contracts, operational leasing/financial leasing contracts, office tenancy contracts, service contracts, labor contracts and other legal documents.
•Participate in the contract negotiation (especially for the framework agreement for the international/domestic business projects)
•Familiar with the management of Company Chop and archives of original contracts.

2)Analyze of various legal issues requested by the business;
•Establish and maintain a model form portfolio
•Establish and maintain an efficient and readily accessible filing system for original contracts and documents
•Ensure observation of relevant Group Policies.

3)Provide legal advice on acquisitions and other important financing and commercial transactions within China;

4)Drive and participate in compliance processes, down raids, trainings and investigations;

5)Provide legal advice to resolve commercial disputes, including for example through negotiations, arbitration or litigation and coordinate relevant legal activities;

6)Work with other company affiliates in Asia, Europe and the US to address policy and other commercial issues relating to China;

7)Support and provide advice on routine business operations, commercial transactions, labor & employment, claims and disputes.

8)Review and draft commercial contracts relating to sales, procurement, distribution, and business collaboration and other business activities.

9)Counsel and provide training on corporate governance and compliance issues including management of trademarks and Chinese anti-corruption legislation.

10)Determine when external legal advice is required and instructing external counsel and advising on specialist matters in connection with a range of matters and using advisors in an efficient, cost effective way. Translating external legal advice into practical business solutions for the applicable business units. Any use of external advice should follow the decision right manual.

11)Identify emerging regulatory and policy issues and makes appropriate recommendations with reference thereto.

12)Handle multi-tasks assignment.

Job Requirement :

1)Bachelor or Master degree, major in Commercial law or international Economic law

2)At least 3 years professional experience within an international law firm or min. 3-5 years’ experience as a in-house lawyer in multinational company.

3)solid lawsuit practice in commercial law and labor law with deep understanding of Chinese law and culture & Good Understanding of legal system and regulatory bodies

4)Member of China Bar with excellent legal academic credentials.

5)Written and verbal ability to communicate fluently in Chinese and English, CET 6 is a must.

6)Able to use computer and MS office software, e.g. Excel/Word, PowerPoint

7)Physical / Medical to meet company’s requirement and standard.

8)High integrity, Mature and good inter-person communication skill, strongly problem-solving, organization, business judgment and strategic thinking skills.

9)Be able to work under pressure, Positive working attitude, self-motivated, and strong sense of responsibilities and team spirit
