Salary: R 650 000.00 - R 750 000.00per annum

Brief Description:
One of our key clients is looking for an Assistant Company Secretary for their Group Finance division to join their fast paste dynamic team.

Admitted Attorney LLB, B.Comm graduate with articles or Chartered Secretaries (CIS) qualification.
Other equivalent legal or financial qualifications would be advantageous.

At least 3 years relevant experience or similar type experience.
Previous experience of working in a corporate environment will be to your advantage.
Exposure to environment with sensitive/confidential information.
Business etiquette on an executive level.

Above average business communication skills (verbally and in writing) in English and Afrikaans (preferable).

Knowledge of the latest applicable legislation e.g. Companies Act 2008, FSB regulations, JSE Listing Requirements and keeping abreast of these laws.
Experience in Microsoft Office Packages (General - Excel; PowerPoint; Word) and Board pack software.
Knowledge of long term insurance or other Financial Services Company experience will be to your advantage
Understanding of Boardview electronic Board packs or similar.

Key Responsibilities

Administrative duties 
Support to the Group Company Secretary.
Draft minutes.
Assist Group Company Secretary to draft Company Secretarial input to Annual Report and Board related submissions.
Support to Board members.
Research and draft legal opinions relevant to Company Secretariat.
Research and updates relating to the New Companies Act, Johannesburg Stock Exchange (JSE) listing requirements and King III (Corporate Governance).
Research and keeping abreast of Legal matters related to the life insurance business.
Assist with support to the Archives and the Shareholder Liaison departments.
Assist with Board, Exco and Forum minutes.
Compile and plan meeting Agendas.
Arrange Board and Committee working and submission papers for each committee in advance.
Assist with the maintaining of company registers, lodgement of required statutory forms and maintenance of each companies statutory records, if required
Preparation of Board packs.
Assist in co-ordinating all Boards meetings, Annual General Meetings, committee meetings and arrange venue, parking and catering.

General Secretarial duties
General office management.
Drafting and perusal of minutes.
Diary management.
Travel and accommodation arrangements, if needed.
Booking of venues and catering arrangements.
Accounts and payments.
Assisting with Budget input.
