Job Description
Job Responsibilities
- Advises management in a variety of areas including legal rights, obligations and privileges, employment law, contracts, corporate, compliance, subsidiary governance/ maintenance, environmental issues, dispute avoidance and resolution, mergers and acquisitions, financings, negotiations and litigation management.
- Manages non-material litigation and supports the management of material litigation
- Supports strategic operational initiatives.
- Advises on the legal aspects of corporate development, exploration initiatives, commercial and contractual matters, employment law and mine operating issues
- Manages land issues, provides legal advice on environmental issues.
- Represents the company in dealing with authorities during inspections, prepares draft replies to acts of inspections.
- Regularly liaises with and provides legal analysis / advice to members of senior management and functional leaders on a variety of legal issues.
- Provides critical support to regional General counsel.
- Stays abreast and updates regarding material legal developments including with respect to corporate governance and public disclosure obligations.
- Ensures the needs of management are met through internal resources and determines when it is appropriate to engage outside counsel.
- Assists with day-to-day management of legal and compliance matters.
- Assists with implementation, administration and enforcement of core corporate policies / procedures.
- Represents Company in court.
- Complies with all company policies and procedures including, but not limited to safety, environmental, confidentiality and code of conduct.
Education and Experience
Education
- Undergraduate degree
- Law degree from an accredited law school
Experience
- Work experience in the natural resources industry, preferably mining, would be an asset
- More than 3 years of managerial experience
- Experience working in a diverse organization with multiple stakeholders and reporting lines
Skills
- Excellent interpersonal and communication skills.
- Highly motivated, independently driven, and able to work independently with minimal supervision.
- Superior verbal, writing and drafting, analytical and negotiation skills and the ability to interact effectively with all levels of employees and management.
- Excellent knowledge of Russian law, especially environmental laws.
- Strong business orientation and acumen, with an ability to advise senior management
- Strong management, communication, and interpersonal skills.
- Well-developed computer skills to be able to implement and maintain effective processes and procedures.
- Advanced written and spoken English.
Conditions:
