Our client is a Belgian Fin-Tech, offering financial software solutions putting the customer at the heart of investment advice by the use of innovative technology. They are looking for a Legal Counsel / Corporate Secretary.

Location : Liège, BELGIUM or Capellen, LUXEMBOURG

The job :

As a Legal Counsel, you will be responsible for advising our client on any relevant legal issues and making sure that it complies with applicable legal and regulatory constraints. You will advise the management committee on a daily basis.

As a Corporate Secretary, you will support the board of directors/chairman of the board and ensure the smooth functioning of the board of directors and of the shareholder’s meetings.

You may also be solicited for legal, regulatory and/or contractual matters involving our subsidiary in Luxembourg (a regulated investment firm and insurance broker subject to prudential supervision).

As Legal Counsel/Corporate Secretary, you will directly liaise with the management body of the company, sales, Legal and Compliance functions etc.

Education and Experience :

· Master’s Degree in Belgian Law

· You have a solid background in EU and Belgian Law with a core expertise in corporate/governance law, intellectual property (IP/IT rights and transactions), data protection (including i.a. GDPR), negotiation in outsourcing arrangements (including in particular cloud outsourcing arrangements), cybersecurity and digital transformation matters that allows you to be comfortable in a FinTech environment where commercial, financial and marketing issues are numerous.

· Experience required of minimum 5 years

· Knowledge or experience in Luxembourg financial and regulatory matters (MiFID in particular) is a plus.
