Job Title: Assistant Company Secretary (6 Months Contract)- UK

Job Summary:
The Company Secretary Assistant plays a pivotal role in ensuring the smooth operation of the board's procedures and compliance with regulatory and statutory obligations. This role assists the Head of Legal/Company Secretary in executing a range of governance and administrative tasks, which support the company's board and its subcommittees.
Responsibilities:
- Assisting with the preparation and distribution of board papers and meeting materials.
- Coordinating board and committee meetings, including scheduling and minute-taking.
- Maintaining statutory books, including the register of members, directors, and secretaries.
- Filing annual returns and other statutory forms with relevant authorities.
- Keeping abreast of relevant legislative and governance changes.
- Assisting with shareholder communications and AGM/EGM preparations.
- Providing guidance on governance best practices to the board and relevant teams.
Experience
- Familiarity with the Companies Act and other relevant regulatory frameworks.
- Experience in using company secretarial software and tools such as Board Vantage.
- Understanding of corporate governance principles and best practices.
General
- Previous experience in a similar role within a corporate environment or professional services firm.
- Proven track record of managing and meeting multiple deadlines.
- Strong interpersonal and communication skills.
- Demonstrated experience in minute-taking and board paper preparation.
Qualifications/Education/Training
Essential
- A degree in law, business, or a related field.
- Membership or eligibility for membership with a recognised institute of company secretaries.
- Strong organisational skills and attention to detail.
- Proficiency with Microsoft Office Suite, particularly Word and Excel.
- Excellent written and verbal communication skills.
Desirable
- A postgraduate qualification in corporate governance or a related field.
- Experience working in a listed company or a large organization.
- Familiarity with international corporate governance standards.
- Ability to adapt and stay resilient in a fast-paced environment.
