As a Associate Director in our Mergers and Acquisitions Team you’ll build and nurture positive working relationships with teams and clients with the intention to exceed client expectations: -
• Advisory in Corporate Restructuring which may involve Merger, Demerger & Capital Reduction
• Advising in pre and post-Merger, Integration
• Advising on possible funding options and cash repatriation options available for making inbound investment in India from a tax and regulatory perspective
• Undertaking comparative analysis of investment jurisdictions for overseas clients for proposed acquisition in India
• Advising on possible options available for consolidating business operations with in India
• Examine stamp duty implications in various states in case of merger and computed estimated stamp duty cost thereon
• Advise on income tax implications in case of transfer of shares of an Indian Company from a Non Resident to another Non Resident and computed capital gains thereon
• Assist in setting up Branch Office by a Foreign Company in India - this included independently liaising with officials of RBI and obtaining order from RBI
• Advise on PE implications in relation to marketing support services rendered by an Indian entity to its foreign group entities
• Advise on relevant sickness provisions under Indian corporate law, reporting requirements with BIFR and possible structuring options for handling sickness issue
• Analyze varied bye-laws and regulations for instance, Indian and foreign tax laws, exchange control regulations, corporate law, stamp duty, competition commission of India guidelines
Desired qualifications
• CA with 8-10 years of Experience in M&A-Tax
• Strong Technical Knowledge
