Chief legal officer
1. Role purpose
The Chief Legal Officer (CLO) is a senior management role within the holding’s executive board, responsible for managing and overseeing legal, compliance, and development activities for the parent holding. The role acts as a strategic partner to shareholders, enabling group growth through legal rigor and operational coordination.
2. Strategic responsibilities
A. Holding Governance and Strategy
- Shareholder and Stock Exchange Relations: Manages the formal legal relationship with shareholders and ensures compliance with capital markets (Stock Exchange) requirements.
- Corporate Secretariat: Administers the company registers and ensures the drafting of constitutional documents and board resolutions.
- Structural Operations: Coordinates legal processes related to relocations, registered office changes, and other administrative actions across the group.
B. Growth and Development
- Permits and Authorizations Management: Drafts and oversees the obtaining of all permits and authorizations required for the operation and expansion of the holding and its factories.
- M&A and Project Support: Directly participates in the negotiation and drafting of strategic contracts supporting the holding’s growth.
- Development Management: Coordinates subordinate legal departments to achieve expansion objectives.
C. Risk Management and Compliance
- Information Protection (NDAs): Ensures confidentiality through the implementation of NDAs with penalty clauses.
- Representation: Provides legal representation of the holding in relations with third parties and authorities.
- Review and Approval: Controls the flow of documents and contracts to eliminate legal risks at group level.
- Departments Under Management: Legal, Development, Permits & Authorizations, and Corporate Secretariat (Holding + Factory).
D. Impact on Operational Efficiency and Governance
- Executive Steering System: Implementation and monitoring of activities through structured reporting mechanisms (dashboards), definition of strategic objectives (KPIs), and direct involvement in the holding’s critical processes.
- Performance Management: Integrated coordination and supervision of legal and administrative functions across all group entities, ensuring alignment of subsidiaries (such as the milk processing plant) with the holding’s standards of excellence.
- Process Optimization: Supervision of workflows within subordinate departments (Operations, Development, Permits & Authorizations, Secretariat) to ensure speed of execution and compliance with board decisions.
Candidate Profile
- Higher education in Law; strong expertise in corporate law, governance, and compliance.
- Minimum 10 years of legal experience, with at least 5 years in leadership roles (CLO / Head of Legal / General Counsel).
- Experience within holding structures, shareholder and board relations, and preferably capital markets.
- Direct involvement in growth projects (M&A, development, permits, restructurings).
- Strong leadership skills, strategic thinking, and group-level legal risk management capabilities.
