Job Description
Responsibilities:
- Provides respecting the rule of law in activity of the Company and protection of its legal interests, including oral and written consultation, drawing up the conclusions and references on legal questions;
- Coordination the implementation of the legal part of the Company projects (including projects in Central Asia and Caucasus - Georgia, Armenia, Azerbaijan Uzbekistan, Tajikistan, Kyrgyzstan) in the sphere of its competence, organizing meetings, and preparing reports on the results of meetings to GM and other directors;
- Carries out legal expertize of drafts of the orders, instructions, policies, standards and other documents prepared in the Company, vises them, and also participates, in necessary cases, in preparation of these documents;
- Provides the management of legal work in the Company (including Central Asia and Caucasus), an explanation of the current legislation and an order of its application, legal advices to structural divisions in claims activities, preparation and transfer of necessary materials to judicial and arbitration courts;
- Represents interests of the Company in court, arbitration court for civil and administrative caases, and also in the state and public organizations by consideration of legal questions, carries out conducting judicial and arbitration affairs;
- Participation and representation of Company interests during negotiations with suppliers and service executives for conclusion, execution, changes or termination of contracts;
- Manages the conclusion, expertize, change and cancellation of all types of contracts (drawing up standard forms of contracts, introduction of offers on change and/or an exception of terms of the contract, contradicting interests of the Company (including for Central Asia and Caucasus), registration of protocols of disagreements);
- Developing and monitoring the implementation of delegation of authority procedures in the company;
- Developing of the Compliance;
- Manages the works of legal department including approving and expertizing contracts, legal opinions, and other documents prepared by subordinates;
- Coordinates and controls corporate issues of the Company, including Caucasus by preparing resolutions and explanations for Board of Directors meetings of shareholders;
- Drawing up statements, complaints, requests, appeals to state authorities, claims, actions and statements to the courts of general jurisdiction and arbitration courts, representing the interests of the enterprise and (or) its subsidiaries in cases in state bodies, courts of general jurisdiction, arbitration courts;
- Studying, analyzing and summarizing the results of claims, litigation and arbitration matters, commercial contracts conclusion and execution of practices in order to develop proposals for addressing the identified deficiencies and improve the economic and financial activities of the Company.
Requirements:
- High Legal education
- Not less than 6 years of work experience in multinational manufacture or trade companies at the position of head of legal department/ Senior Lawyer
- Fluent English;
- Knowledge of rules of registration, preparation process and conclusion of civil and labor contracts, collective agreements, tariff agreements, preparation and direction of claims, writs and other procedural documents, appeals to public authorities and local governmental authorities;
- Knowledge of legislative and other legal acts regulating all aspects of industrial and economic activity of the enterprise, including the copyright, patent, civil, criminal, labor, administrative, arbitration, civil procedure, criminal procedure, the financial, currency, customs, tax, land, environmental, antitrust and other branches of Kazakhstan law;
- Knowledge of internal regulations and other local normative acts regulating the activities of the Company;
- Knowledge of Health and Safety regulations and norms;
- Advanced PC user (MS Office (Word, Excel, Power Point, Microsoft Project, Visio).
