Job Summary:

As an Independent Non-Executive Director, you will play a critical role in providing strategic guidance, oversight, and expertise to the Board of Directors, with a particular focus on the UK banking environment and African banking experience. You will help shape the bank's strategic direction and ensure its alignment with best practices, regulatory requirements, and market trends.

Key Responsibilities:

Board Governance and Oversight:

• Actively participate in board meetings, committees, and decision-making processes.
• Provide independent and objective judgment on issues such as risk management, compliance, and strategy.
• Foster a culture of strong corporate governance and ethical behavior within the organization.

Strategic Guidance:

• Contribute to the development and execution of the bank's long-term strategy.
• Provide insights and expertise related to the UK banking environment and African banking experience.
• Assess market trends and identify growth opportunities.

Risk Management:

• Monitor the bank's risk management framework and ensure its effectiveness.
• Assess and advise on risk policies and practices, particularly in the context of corporate and investment banking.

Compliance and Regulatory Oversight:

• Stay informed about relevant UK and international banking regulations.
• Provide oversight and guidance to ensure compliance with regulatory requirements.

Stakeholder Engagement:

• Build and maintain relationships with key stakeholders, including regulators, industry associations, and clients.
• Represent the bank at industry events and forums.

Qualifications and Experience:

• Extensive experience in the banking industry, with a strong background in Corporate & Investment Banking and Trade Finance.
• In-depth knowledge of the UK banking environment and a solid understanding of African banking markets.
• Proven track record of strategic leadership and board-level experience.
• Familiarity with corporate governance principles and regulatory frameworks.
• Excellent communication, analytical, and interpersonal skills.
• A commitment to ethical conduct and integrity.

Term of Appointment:

This is an Independent Non-Executive Director position with an initial term of 3 years. The term may be renewed subject to mutual agreement.
