Job Title: Independent Non-Executive Director (INED) – France

Role Purpose
The Independent Non-Executive Director (INED) will support the Chair and Board in providing strategic direction, robust governance, and independent oversight to the Bank's executive management. The INED will bring deep expertise in banking, regulatory knowledge, and an ability to offer constructive challenge while helping shape the Bank’s growth agenda in France and across international markets. Fluency in both French and English is essential for effective engagement with stakeholders, regulators, and cross-border partners.
Responsibilities
- Contribute strategically to the Bank’s long-term vision, growth, and performance.
- Provide independent oversight and constructive challenge to the executive team and Board.
- Ensure full compliance with French, EU, and international banking regulations, particularly in relation to financial crime, risk management, and trade finance.
- Serve as a member of board sub-committees, offering subject-matter expertise and participating in regular and ad hoc meetings (approximately 24 days annually).
- Guide Board decision-making on digital transformation, including fintech opportunities in commercial and retail banking.
- Foster a strong culture of governance, integrity, and accountability across the Bank.
- Actively promote and support a customer-centric approach throughout the Bank’s operations.
Industry Experience
- Senior/executive-level experience in banking, preferably in commercial banking or trade finance.
- Strong understanding of the French and broader European financial services market.
- Awareness of the global economic, regulatory, and market environment affecting the banking sector.
Risk & Regulatory Expertise
- Deep knowledge of the French and EU banking regulatory landscape, with emphasis on financial crime prevention and operational risk.
- Familiarity with cross-border compliance, including international anti-money laundering (AML) frameworks.
Board Experience
- Previous experience as a Non-Executive Director or equivalent at a regulated financial institution.
- In-depth understanding of corporate governance principles, boardroom dynamics, and effective oversight functions.
- Demonstrated ability to operate independently and manage boardroom influence and consensus-building.
Skills & Personal Attributes
- Bilingual fluency in French and English – both written and verbal.
- Strong interpersonal skills; capable of engaging with senior stakeholders, regulators, and diverse board members.
- Demonstrated ability to shape strategy, influence decision-making, and manage complex governance issues.
- Ability to assess environmental trends, risks, and opportunities, and distill them into actionable insights.
- Commitment to promoting diversity, equity, and inclusion at board and institutional levels.
Desirable
- Experience in fintech, digital banking, or regulatory technology solutions (RegTech).
- International exposure, especially in Africa, the UK, or other emerging markets, is an added advantage.
