Location: Delhi And Mumbai

Key Responsibilities:

• Lead the drafting, review, and negotiation of critical transaction documents, including prospectuses, offer documents, underwriting agreements, and placement memorandums.
• Oversee equity market transactions such as IPOs, QIPs, rights issues, follow-on public offerings (FPOs), and other equity offerings.
• Provide strategic legal and regulatory advice to clients on compliance with SEBI regulations, stock exchange rules, and listing requirements.
• Manage due diligence processes, identify potential risks, and recommend mitigation strategies.
• Liaise with clients, stock exchanges, regulators, and other stakeholders, ensuring seamless execution of transactions.
• Stay updated on legal and regulatory developments in the ECM and broader capital markets space, and proactively advise clients on the impact of such changes.
• Mentor and guide junior associates, ensuring high-quality deliverables and efficient team performance.

Qualifications and Skills:

• Education: LL.B. or equivalent qualification from a reputed law school.
• Experience:
  • 5–8 years of relevant experience in Equity Capital Markets or Capital Markets - Equity at a leading law firm.
  • Note: Candidates with in-house experience will not be considered.
• Core Skills:
  • Strong expertise in SEBI regulations, equity transactions, and listing processes.
  • Proficiency in managing complex transaction documentation and negotiation.
  • Ability to lead teams and drive high-pressure transactions to completion.
• Soft Skills:
  • Excellent problem-solving, communication, and interpersonal skills.
  • Proven ability to work collaboratively in a fast-paced, high-performance environment.
